Terms of Service
These Terms of Service (the Terms) are a binding agreement between you and Bilawal Atif, trading as NobodyWaits (NobodyWaits, we, us, our) for the use of NobodyWaits, the website at nobodywaits.com and the NobodyWaits app (together, the Service).
Please read them carefully. They limit our responsibility in important ways, in particular for anything WhatsApp or Meta does to your WhatsApp account, for mistakes made by AI, and for losses caused by things outside our control. By signing them in the app, by buying a plan, or by using the Service, you agree to them on behalf of yourself and of the business you use the Service for. If you do not agree, do not use the Service.
1. Agreeing to these Terms, and signing them electronically
Before you use the app, NobodyWaits asks you to read these Terms, tick that you agree, and type your full name. That is your electronic signature. To the extent the law allows, it has the same effect as signing a paper copy, and you agree not to dispute these Terms only because they were signed electronically.
When you sign, we keep a record of which version you signed, the date and time, the name you typed, and the internet address and browser you signed from. We keep that record for as long as your account exists and for as long afterwards as we may need it to show what was agreed.
If you use the Service for a business, organisation or someone else, you confirm that you have the authority to accept these Terms for them, and "you" in these Terms means both you and them. If you do not have that authority, do not sign and do not use the Service.
These Terms work together with our Privacy Policy and our Refund Policy. Where they deal with the same subject, the Privacy Policy decides how personal data is handled, and these Terms decide everything else.
2. Words with a special meaning
- Workspace: the space in NobodyWaits for one business, with its own linked WhatsApp number, inbox, settings and data.
- Your content: the messages, chats, contacts, names, files, drafts, instructions, lists, labels and everything else that reaches the Service from your WhatsApp account or that you or your team enter into it.
- Your contacts: the people and businesses who appear in your WhatsApp chats and groups.
- AI features: the parts of the Service that use artificial intelligence, including question detection, reply drafts, summaries, style learning, meeting detection, voice-note transcription and the Agent.
- The Agent: the feature that carries out tasks you type, on your WhatsApp account, using a set of tools.
- Broadcast: one message sent by the Service to several chats.
- WhatsApp: the WhatsApp messenger and its business features, which are owned and run by WhatsApp LLC and Meta Platforms, Inc. (Meta), and not by us.
3. What NobodyWaits does
NobodyWaits links to a WhatsApp account you control, as a companion device, in the same way WhatsApp Web does. It reads the messages that reach that account, looks for the ones still waiting on a reply, and shows them in one inbox. It drafts replies with AI from the few words you type, learns how you write, finds meetings agreed in chats, lets you send broadcasts, and carries out Agent tasks you start yourself.
Replies wait as drafts until you press Send. Broadcasts and Agent tasks act on your WhatsApp account only when you start them. You are in control of, and responsible for, everything that is sent from your account.
NobodyWaits is a tool to help you keep up with your messages. It does not replace your own attention to your WhatsApp, and it is not a guarantee that every message will be found or answered (see "AI features and their limits").
4. Who may use the Service
You must be at least 18 years old, or the age of majority where you live if that is higher, and you must use the Service for a business, trade or profession, not as a consumer for personal or household purposes.
You must not use the Service if the law where you are, or a sanctions list that applies to you, forbids it, or if we have closed an account of yours before for breaking these Terms.
Every WhatsApp number you link must be one you own or are fully authorised to use, and you must have the right to let the Service read and act on that account.
5. Your account and its security
Keep your sign-in details to yourself, use a strong password that you do not use anywhere else, and sign out on shared devices. Each person who uses your workspace should have their own sign-in where the Service offers one.
You are responsible for everything that happens under your account and workspace, including what members of your team do. Tell us straight away at [email protected] if you think someone else has used your account or that your sign-in details are known to someone else.
Make sure the details you give us (your name, email address, business details and the number to connect) are accurate, and keep them up to date.
6. NobodyWaits is not WhatsApp, and WhatsApp may act against your number
NobodyWaits is independent. It is not affiliated with, endorsed by, sponsored by or approved by WhatsApp or Meta, and it is not an official WhatsApp product. It does not use the official WhatsApp Business API (the WhatsApp Business Platform). It connects to your account as a linked device through an unofficial method that WhatsApp has not approved.
WhatsApp's own terms do not allow access to WhatsApp through unauthorised or automated means, or bulk or automated messaging. WhatsApp can warn, limit, temporarily block, ban or permanently disable any number it believes breaks its terms, at any time, without warning and without explaining why, and it has said it may take action against people who use unofficial clients.
By linking a number you accept that risk in full. You decide whether to link a number, and you link it at your own risk. In particular, you agree that:
- we are not responsible for any warning, restriction, block, ban, suspension, logout or loss of a WhatsApp account or number, whether or not it is connected with your use of NobodyWaits;
- we are not responsible for any messages, chats, groups, contacts, media, history, business, customers, income or reputation you lose because of any action by WhatsApp or Meta;
- such an action is not a fault in the Service, and does not entitle you to a refund, credit, compensation or any other remedy from us, except a refund you are entitled to under our Refund Policy within its time limit, or where the law says otherwise;
- we cannot appeal to WhatsApp for you, and we cannot get a number restored;
- WhatsApp can change its systems or its rules at any time in ways that make linked devices, or the Service, stop working, temporarily or for good, and we do not promise that the Service will keep working with WhatsApp.
To lower the risk: use a number you could manage without, keep the broadcast safety settings on, send at a modest pace, only message people who expect to hear from you, never buy or scrape contact lists, and stop at once if WhatsApp warns you.
7. Your phone, your linked device and your history
The Service works as a companion to the phone that holds your WhatsApp account. WhatsApp decides how linked devices work, including how much past history it shares when a device is linked (your phone sends it only while it is online, with WhatsApp open), how long a linked device stays linked while your phone is offline, and when a device must be linked again. If WhatsApp unlinks the Service, you will need to scan the QR code again.
Messages that arrive while the Service is not connected (for example during an outage, or while the number is unlinked) may reach it late, only partly, or not at all. NobodyWaits keeps only a limited window of recent history, as described in the Privacy Policy.
Removing the Service from your phone's linked devices, or unlinking it in Settings, stops new messages from reaching it.
8. Messaging rules, consent and broadcasts
You are solely responsible for every message sent from your account through the Service, including drafts you send, broadcasts and anything the Agent sends on a task you started, and for making sure each one is lawful.
In particular, you must:
- only send marketing or promotional messages to people who have agreed to receive them, where the law requires consent, and honour every request to stop straight away;
- follow the laws on marketing, telecommunications, consumer protection, data protection, e-commerce and advertising that apply to you and to the people you message, wherever they are;
- make clear who a message is from, and never hide or fake the sender;
- not use the Service for messages that WhatsApp does not allow, such as spam, chain messages or bulk unsolicited messages.
Broadcasts are paced and capped, and some messages may be held back by safety settings. We may lower limits, pause sending or stop a broadcast where we reasonably believe it breaks these Terms or the law, or puts your number or other people at risk.
9. Acceptable use
You agree not to use the Service, or let anyone else use it, to:
- send spam, or messages to people who have not agreed to hear from you;
- break any law or regulation, or anyone else's rights;
- commit or help with fraud, scams, phishing or money laundering, or send anything deceptive or misleading;
- send or store content that is illegal, threatening, harassing, hateful, discriminatory, defamatory, obscene, sexually explicit, or that sexualises minors in any way;
- impersonate anyone, or misrepresent your connection with anyone;
- infringe anyone's copyright, trademark, privacy, publicity or other rights, or use content you do not have the right to use;
- collect or process personal data you have no lawful right to process, or track or monitor people without their knowledge where the law requires it;
- introduce malware, or probe, scan, overload, attack or try to get around the security, limits or access controls of the Service;
- copy, scrape, reverse engineer, decompile or take apart the Service, except where the law expressly allows it despite this restriction;
- access the Service other than through the app and the interfaces we provide;
- resell, rent, share or sublicense access to the Service, or use it to provide a service to others, without our written agreement;
- use the Service to build or train a competing product or an AI model.
We may remove content, refuse to send something, pause features or suspend an account that breaks these rules, and we may report illegal activity to the authorities.
10. AI features and their limits
AI can be wrong. The AI features produce their results automatically. Drafts, summaries, categories, urgency, meeting details, transcripts and Agent results may be inaccurate, incomplete, out of date, inappropriate or simply wrong, and the AI may misread a message, a language, a name, a date or a number.
NobodyWaits may not find every message that needs a reply. It can miss messages, show a message that did not need a reply, close one as answered when it was not, or show one late, for example because of how a message was written, its language, media without words, a limited history window, an outage, or a mistake by the AI. Messages from before you linked your number are read only for a short window, and more strictly. You remain responsible for watching your WhatsApp and answering the people who write to you.
Read every draft before you send it, and check anything you rely on. The Service does not give legal, medical, financial, tax, immigration or other professional advice, and nothing it writes may be relied on as such without a qualified person checking it.
Do not use the AI features to make or send:
- illegal content, or instructions for committing a crime;
- sexual content involving minors, or sexual content or "deepfakes" of anyone without their consent;
- hate speech, harassment or threats;
- malware, or instructions for hacking or breaking into systems;
- private information that exposes people, such as home addresses or identity documents ("doxxing");
- content meant to deceive or manipulate, such as scams, fake reviews or messages pretending to be someone else.
Do not try to get around the safety rules of the AI features ("jailbreaking"), or to make them reveal their instructions.
As between you and us, the instructions you give the AI and the drafts made for you belong to you, as far as the law allows. Similar text may be produced for other customers, and no one gets exclusive rights in it.
11. The Agent
The Agent only works on your own WhatsApp account: finding, reading, counting and summarising your chats, groups and messages; lists and labels; pinning, muting and starring; sending messages you ask for; and managing your groups. It declines other requests, such as writing code, essays or general answers. It is not a general-purpose assistant.
The Agent acts only on a task you start. Some of what it can do is visible to others or cannot be undone, such as sending a message, deleting one, or changing a group or its members. Describe tasks clearly, check what it reports, and do not start a task you are not willing to have carried out. You are responsible for every action taken on a task you started.
The Agent has limits for your protection, for example on how many messages one task can send and on who it may message. We may change those limits, and the length and number of tasks, at any time.
12. Your content
Your content stays yours. You give us a non-exclusive, worldwide, royalty-free permission to store, copy, process, transmit and display it only as needed to run, secure, support and improve the Service for you, as described in these Terms and the Privacy Policy. That permission ends when your content is deleted from the Service, apart from copies we must keep by law or that remain for a short time in backups (see "Ending the agreement").
You confirm that you have all the rights and permissions needed for your content to be processed by the Service, including for the messages, names and numbers of your contacts.
We do not sell your content, we do not use it for advertising, and we do not use it to train AI models.
13. Confidentiality: we do not read your messages
Your messages are processed by software, automatically. We do not read, browse or look at the content of your chats, messages, contacts, drafts or files, and the admin tools we use to run the Service are built not to show them. Team leaders who can see your workspace's figures see counts and status, never your messages.
The only exceptions are these, and in each case we look at no more than we need, for no longer than we need:
- when you ask us for help and give us permission to look at something specific;
- when it is needed to investigate or fix a security incident, a serious fault, abuse or a breach of these Terms;
- when it is needed to restore your data from a backup at your request;
- when the law, a court or a competent authority requires it, in which case we will tell you if we are allowed to.
Your content is passed to the service providers that help run the Service (see "Services from other companies") only as needed for them to do their part, under their own confidentiality and data-protection commitments. We will treat any non-public information about your business that we learn through the Service as confidential.
14. Your contacts' personal data
For the personal data of your contacts that reaches the Service, you are the controller (the one who decides why and how it is used) and we process it on your behalf, on your instructions as set out in these Terms. Our processing terms are in the Privacy Policy, under "Processing for businesses", and form part of these Terms.
You are responsible for having a lawful basis for that processing, for telling your contacts how their messages are handled where the law requires it, and for answering their requests about their data. We will help you with those requests where we reasonably can.
15. Where your data is kept, security and backups
Your workspace is stored on servers we operate or rent, as described in the Privacy Policy, together with encrypted backup copies kept off the server for a limited time. We use reasonable technical and organisational measures to protect it, including encrypted connections, restricted access, separate storage for each workspace and encrypted off-site backups.
No system is perfectly secure, and we cannot promise that your content will never be lost, damaged or accessed without permission. If we learn of a security incident that affects your personal data, we will tell you without undue delay, as the law requires.
Backups are for running the Service, not a service for you: we do not promise that a backup will exist for any given day or that we can restore any particular data. Keep your own copies of anything important. You can download a copy of your workspace in Settings at any time.
16. Services from other companies
The Service depends on services from other companies, which may change, limit or stop them at any time and which are not under our control. They include WhatsApp and Meta (the messaging network); Anthropic (the AI models behind the AI features); Google (voice-note transcription, where it is turned on); Cloudflare (which carries traffic between you and the Service); Paddle (payments); and our email provider.
We choose them with care, but we are not responsible for their acts, omissions, outages or decisions, or for any change they make that affects the Service. Where we must rely on them to do something for you, our obligation is to ask them to do it.
17. Plans, payment and renewal
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. When you buy, you also agree to Paddle's Buyer Terms, which cover the payment itself. Paddle answers questions about payments, receipts and refunds; we answer everything about NobodyWaits itself.
Plans are billed in advance for each billing period and renew automatically until you cancel. Any sales tax or VAT that applies is worked out by Paddle and shown at checkout before you pay.
You can cancel at any time in the app (Settings, Plan and billing), through the link in your receipt, at https://paddle.net, or by writing to [email protected]. Your plan then runs to the end of the period you have paid for and is not renewed.
If a payment fails, we will tell you, and we may limit or pause the Service until it is paid. We will give you at least 30 days' notice of any price increase, and you can cancel before it applies.
A trial, where we give one, lasts for the time we tell you, may come with limits, and ends early if it is misused, for example by starting several trials for the same number.
18. AI allowance and fair use
Each plan includes a monthly AI allowance. When it is used up, new messages are kept safely and read once it resets at the start of the next month, or straight away after an upgrade. Drafts and other AI features may be unavailable until then.
Allowances, batch sizes, task limits and similar limits exist to keep the Service fair and affordable for everyone. We may change them, and we may limit use that is far beyond what a business of your kind would normally need.
19. Refunds
You can ask for a full refund of any payment within 14 days of it. The details are in our Refund Policy. Apart from that, and from any rights the law gives you that cannot be excluded, payments are not refundable, including after any action by WhatsApp against your number.
20. Availability, maintenance and support
We work to keep the Service running and your data safe, but the Service is provided without any promise of a particular availability. It may be unavailable or slow because of maintenance, updates, faults, power or internet outages, problems at our providers, WhatsApp, or events outside our control. While it is unavailable, messages may not be read, drafts may not be made and replies or broadcasts may be delayed.
Planned maintenance is usually short. Where we reasonably can, we do it at quiet times. A restart pauses broadcasts that are in progress until you resume them.
Support is by email at [email protected]. We answer as soon as we reasonably can, usually within one business day, but we do not promise any particular response or fix time.
21. Changes to the Service
We may change, add or remove features, change how the Service works, or change the models and providers it uses. If a change takes away something important that you rely on, we will tell you in advance where we reasonably can, and you can cancel your plan.
Some features may be marked as new, beta or experimental. They may change or be withdrawn at any time and are provided with even fewer promises than the rest of the Service.
22. Suspension
We may suspend or limit your access to the Service, all of it or some features, if we reasonably believe that you have broken these Terms, that your account is being used by someone without permission, that you have not paid, or that your use puts the Service, your number, our other customers or anyone else at risk, or if the law or an authority requires it.
Where we reasonably can, we will tell you first and give you a chance to put things right. We will lift a suspension once the reason for it has gone.
23. Ending the agreement
You can stop using the Service and delete your account at any time in Settings. Deleting it erases your workspace and cancels any subscription.
We may end these Terms and close your account if you seriously or repeatedly break them, if you do not pay, if your use creates a legal or security risk, or if we stop offering the Service. Unless it would be unlawful or unsafe, we will give you reasonable notice and a chance to download your data first.
When an account is closed, its workspace is deleted from the live Service, and it drops out of our backups within the period stated in the Privacy Policy. Records we must keep by law, and the record of your signature of these Terms, are kept as the Privacy Policy describes.
The sections on your content, confidentiality, payment due, our intellectual property, disclaimers, limitation of liability, your responsibility to us, and law and disputes continue after the agreement ends.
24. Our intellectual property, and feedback
The Service, including its software, design, text, prompts, graphics and our name and logo, belongs to Bilawal Atif, trading as NobodyWaits or our licensors and is protected by intellectual property laws. While your subscription runs, your plan gives you a personal, non-exclusive, non-transferable, revocable right to use the Service for your business under these Terms. All other rights are reserved.
If you send us ideas, suggestions or feedback, we may use them freely, without paying you or naming you.
25. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, we make no promises, conditions or warranties of any kind about it, express or implied, including that it will meet your needs, be fit for a particular purpose, be accurate, reliable, secure, uninterrupted or free of errors, that it will find every message that needs a reply, that AI output will be correct, that your data will never be lost, or that WhatsApp will continue to allow linked devices or the Service to work as they do today.
Some places do not allow some of these exclusions; there, they apply only as far as the law allows.
26. Limitation of liability
To the fullest extent the law allows:
- we are not liable for any indirect, incidental, special, consequential or punitive loss or damage, however it arises;
- we are not liable for any loss of profits, revenue, sales, business, contracts, customers, opportunities, goodwill or reputation, or for wasted time or expenses;
- we are not liable for any loss of, damage to or corruption of data, or for the loss, restriction, ban or suspension of any WhatsApp account or number, or of its chats, groups, contacts or history;
- we are not liable for messages that are missed, late or wrongly handled by the Service, for any message sent from your account (including AI drafts you sent, broadcasts and Agent actions on tasks you started), or for what other people do with what you send them;
- we are not liable for the acts, omissions, outages or decisions of WhatsApp, Meta or any other company whose services the Service depends on, or for events outside our reasonable control;
- our total liability to you for everything arising out of or in connection with these Terms or the Service, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the amount you paid us for the Service in the 12 months before the event that gave rise to the claim.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.
27. Your responsibility to us
You will defend, compensate and hold harmless Bilawal Atif, trading as NobodyWaits against any claims, demands, losses, damages, fines, penalties, costs and expenses (including reasonable legal fees) brought by anyone else or imposed by any authority, arising from your content, the messages sent from your account through the Service, your use of the Service, your contacts' personal data, or your breaking these Terms or the law.
28. Events outside our control
We are not responsible for any failure or delay caused by events outside our reasonable control, including power cuts, internet or telecommunications failures, failures or decisions of WhatsApp, Meta or our other providers, cyber-attacks, fire, flood, storms, epidemics, war, terrorism, civil unrest, strikes, and acts or orders of governments or authorities.
29. Changes to these Terms
We may update these Terms, for example to reflect changes to the Service, to the law or to WhatsApp. For changes that matter, we will tell you by email or in the app at least 14 days before they take effect, except where a change is needed sooner for legal or security reasons. We may ask you to sign the new version in the app before you continue.
If you do not agree to a change, stop using the Service and cancel before the change takes effect. Using the Service after it takes effect, or signing the new version, means you accept it.
30. General
- Whole agreement. These Terms, with the Privacy Policy and the Refund Policy, are the whole agreement between you and us about the Service and replace anything said or written before. You do not rely on any statement that is not in them.
- Transfer. You may not transfer your rights or obligations under these Terms without our written agreement. We may transfer ours to a company that takes over the Service, or to a company we set up to run it; we will tell you if we do, and your rights will not be reduced.
- Severability. If a court finds part of these Terms unenforceable, the rest stays in force, and that part applies as far as the law allows.
- No waiver. If we do not enforce a right straight away, we can still enforce it later.
- Relationship. Nothing in these Terms makes either of us the other's partner, employee, agent or representative.
- Third parties. Nobody other than you and us has any right to enforce these Terms.
- Notices. We send notices to the email address on your account or show them in the app. You send notices to us by email at the address below.
- Language. These Terms are written in English. If they are translated, the English version applies where the two differ.
31. Law and disputes
These Terms, and any dispute or claim arising out of or in connection with them or the Service, are governed by the law of the United Arab Emirates, as applied in the Emirate of Dubai. The courts there have exclusive jurisdiction, unless the law where you are gives you a right to bring a claim locally that cannot be excluded.
Before starting any formal proceedings, please write to us at [email protected] and give us 30 days to try to settle the matter with you.
